Company Formations

Setting up a limited company - or incorporation, to use its technical name - isn't as daunting as you might think. We can help you set it up manually, with a face-to-face meeting, or electronically, if you need to get up and running more quickly.

Obviously, going limited brings with it a great deal of responsibility (see our factsheets to find out more), and so you need to know the best way to go about things. We'll advise you on the basics - what being limited will mean to you, the roles of a Director, a Company Secretary and a Shareholder, and everyone's duties from a Company Law perspective. This way, you'll have a bit of background knowledge before you take your newly-incorporated company out into the world.

We'll pre-empt your next question with some comforting words which you might not expect from a firm of accountants... don't worry about the paperwork. We'll complete all the necessary forms for you, and lodge them with the Registrar of Companies. In addition, we'll provide you with copies of your company's Certificate of Incorporation: think of this as your company's birth certificate. Unfortunately, you'll also receive copies of the legal blurb, in the form of the Memorandum and Articles of Association, but this is a necessary evil.

Once you're registered in your new limited guise, you'll need to take some practical steps to really get into your stride. These may seem blindingly obvious - arranging insurance, opening a bank account, registering for VAT, you know the sort of thing - but you need to get them right first time, so we'll talk you through it all. Remember, we've done this before! To get a better idea of what you might need to consider when setting up a company, take a look at our factsheets.

Projections - Cashflows and Profit Forecasts

During the life of any company, all sorts of administrative matters arise. You can't avoid them, so there's no use complaining, but on the up side, being a client of Jones Harris means you get a lot of it sorted out for you. We'll attend to all legal notices, minutes and resolutions, not to mention the related paperwork.

So what kind of thing are we talking about? Let's see... the appointment and resignation (or even removal) of a Director or Company Secretary, a change of your registered office address or accounting reference date, a change in your share capital, a change of your name, elective resolutions...

Bored yet? Thought so. That's why we'll do it for you. And because we know you're really busy, we'll keep you on your toes when your accounts and other paperwork are due at Companies House, so you won't have to pay any penalties.

At the end of the day, you need peace of mind when you're running a company. As a client of Jones Harris, you can rest assured that your company's secretarial matters are always up to date, so you can stop worrying about legal and accounts paperwork, and get on with making your business a success.
